1. Agreement to Terms

Welcome to RATEC Digitals. These Terms of Service (“Terms”) constitute a legally binding agreement between you and RATEC Digitals (“we,” “our,” or “us”) governing your access to and use of our website, products, and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

2. Eligibility

By using our services, you represent and warrant that you meet these eligibility requirements. If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access or security breach
• Take responsibility for all activities that occur under your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or incomplete.

4. Products and Purchases

RATEC Digitals sells digital products including but not limited to Canva templates, digital bundles, ebooks, coloring books, PLR (Private Label Rights) and MMR (Master Resell Rights) content, WordPress plugins, website templates, and software tools. All purchases are subject to:

• Digital Delivery: Products are delivered electronically via download links sent to your registered email address.
• License Terms: Each product is sold under specific license terms (Personal Use, Commercial Use, PLR, MMR, or Resell Rights) as specified in the product description. You agree to comply with these license terms.
• Pricing: All prices are displayed in USD unless otherwise stated. We reserve the right to change pricing at any time without prior notice.
• Payment: Payment must be made in full at the time of purchase. We accept major credit cards, PayPal, and other payment methods as indicated at checkout.

5. License and Usage Rights

Upon purchase, you receive a non-exclusive, non-transferable license to use the product according to the specified license type:

• Personal Use: For your own personal, non-commercial use only.
• Commercial Use: For use in your own business or client projects with proper attribution where required.
• PLR (Private Label Rights): You may modify, rebrand, and sell the product as your own. Copyright transfers to you.
• MMR (Master Resell Rights): You may sell the product and pass on resell rights to your customers.
• Resell Rights: You may sell the product but may not modify it or pass on resell rights.

You may not share, distribute, or resell products outside of the specified license terms. You may not use our products for illegal, defamatory, or harmful purposes.

6. Intellectual Property

All content on our website, including but not limited to text, graphics, logos, images, audio clips, digital downloads, and software, is the property of RATEC Digitals or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws. Except as expressly permitted under the applicable license, you may not reproduce, modify, distribute, or create derivative works from our content without prior written permission.

7. Refund Policy

Due to the digital nature of our products, we generally do not offer refunds once a product has been downloaded or accessed. However, we may provide refunds in the following circumstances:

• The product file is corrupted or defective and cannot be used
• The product description significantly misrepresents the actual content
• You accidentally purchased the same product twice
• Technical issues on our end prevented you from accessing the product

Refund requests must be submitted within 30 days of purchase and will be evaluated on a case-by-case basis. We reserve the right to deny refund requests that do not meet these criteria.

8. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Using our services for any illegal purpose or in violation of any law
• Attempting to gain unauthorized access to our systems or other users’ accounts
• Interfering with or disrupting the integrity or performance of our services
• Uploading or transmitting viruses, malware, or other malicious code
• Scraping, harvesting, or collecting data from our website without permission
• Impersonating another person or misrepresenting your affiliation with any entity
• Engaging in fraudulent activities, including chargebacks after receiving products
• Sharing account credentials or allowing others to use your account

9. Disclaimer of Warranties

Our services and products are provided on an “as is” and “as available” basis without any warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not make any warranties regarding the results that may be obtained from using our products or services. All use is at your own risk.

10. Limitation of Liability

To the maximum extent permitted by law, RATEC Digitals and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising out of or related to your use of our services, even if advised of the possibility of such damages. Our total liability shall not exceed the amount you paid for the specific product or service giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless RATEC Digitals and its affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of our services, violation of these Terms, or infringement of any intellectual property or other rights of any person or entity.

12. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use our services will cease immediately. All provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Tech City, TC. You agree to submit to the personal jurisdiction of such courts.
